                      Cancellation of Prior Contracts
   
  1.  When this Agreement becomes effective, it supersedes and cancels as of
the effective date hereof the following contracts between the parties hereto
for the transportation of natural gas by MIGC for Shipper.

  1.  Any formal notice, request or demand that either party gives to the other
respecting this Agreement shall be in writing and shall be mailed by
