                                  ARTICLE IX
                                Miscellaneous
   
  1. MIGC and  Shipper expressly  agree that  the laws of the State of Wyoming
shall govern  the validity,  construction, interpretation  and effect  of this
Agreement and  of the Transportation General Terms and Conditions incorporated
by reference in Rate Schedule FTS-1.
   
  2. Exhibits A,  B, and C attached to this Agreement, are hereby incorporated
by reference  as part of this Agreement.  The parties may amend Exhibits A, B,
and C  by mutual  agreement, which  amendments shall be reflected in a revised
Exhibit A,  B, or  C, and  shall be  incorporated by reference as part of this
Agreement.
